NUBURU Completes First Phase of Orbit Acquisition, Advancing Defense & Security Platform Expansion

NUBURU, Inc. (NYSE American: BURU) (“NUBURU” or the “Company”), a global pioneer in blue-laser innovation driving next-generation defense and security transformation, today announced the successful completion of the first phase of its planned acquisition of Orbit S.r.l. (“Orbit”).

Through its wholly owned subsidiary Nuburu Defense LLC (“Nuburu Defense”), the Company has made an initial capital infusion of $1.5 million into Orbit via a subscribed capital increase, securing a 10.7% equity position. Orbit, an Italian defense-grade SaaS provider, specializes in operational resilience, business continuity, and crisis-management digitalization for mission-critical organizations across the defense and critical-infrastructure sectors.

Building Toward Full Ownership

This initial investment marks the first milestone in NUBURU Defense’s staged acquisition strategy, which aims to achieve full ownership of Orbit through a structured two-phase process. A further $3.5 million capital injection is planned to accelerate completion of the second phase, leading to majority control and eventual full consolidation of Orbit into NUBURU’s expanding Defense & Security Hub.

Once finalized, the acquisition will establish NUBURU as both a hardware and software leader in the rapidly growing defense technology market, enabling the Company to deliver end-to-end solutions that integrate laser-based hardware, artificial intelligence, and software-driven operational platforms.

Expanding Software Capabilities for a Growing Defense Market

The global market for operational resilience, crisis-readiness, and secure command-and-control technologies is projected to reach $2.9–$3.6 billion by 2025, growing at an annual rate exceeding 10%.

Orbit’s defense-grade SaaS platform integrates real-time analytics, crisis communications, and IT ecosystem mapping into a unified, adaptive framework. Strategic Synergies: AI, Drones, and Real-Time Situational Awareness

Orbit’s digital resilience capabilities are expected to integrate closely with the AI-driven drone joint venture recently announced between Nuburu Defense and Maddox Defense Incorporated.

In this system architecture:

  • Unmanned aerial systems provide the sensor layer, capturing live, high-fidelity intelligence from operational environments.
  • Orbit’s platform serves as the decision layer, enabling automated threat detection, coordinated command execution, and real-time response.

This integrated ecosystem supports NUBURU’s vision of a fully connected defense-resilience network, offering both situational awareness and rapid response capabilities to government and enterprise clients.

The Company projects that this synergy could help drive approximately $100 million in annual revenue at the joint venture level by 2028, with NUBURU contributing nearly $20 million in revenue by the end of its current Business Plan period.

Transaction Oversight and Governance

To ensure full transparency and regulatory compliance, NUBURU engaged a Big Four U.S.-based professional services firm as its financial advisor for the Orbit transaction.

Prior to this acquisition, Orbit was wholly owned by Alessandro Zamboni, who also serves as NUBURU’s Executive Chairman and Co-CEO. In accordance with best corporate governance practices, the transaction was reviewed by an independent financial advisor who provided a valuation and pricing analysis. The transaction was subsequently approved by NUBURU’s independent non-executive directors.

The total consideration for the full acquisition is $12.5 million, which includes a $2.4 million net cash advance to Orbit’s owner, paid in tranches and partially offset by a $1.35 million NUBURU receivable. The remaining balance will be settled through the issuance of NUBURU equity securities by the end of 2026, subject to stockholder approval.
