Penguin Solutions Completes Oversubscribed Convertible Notes Offering

Penguin Solutions Completes $750 Million Oversubscribed Convertible Notes Offering to Strengthen AI Growth Strategy

Penguin Solutions, Inc. (Nasdaq: PENG), a leading provider of AI infrastructure and memory solutions, has successfully completed its previously announced private offering of $750 million in aggregate principal amount of 0.00% convertible senior notes due 2031. The financing marks a significant milestone in the company’s long-term capital strategy, providing additional financial flexibility to support continued investment in its AI Factory Platform while strengthening its balance sheet.

The offering, which was conducted through a private placement to qualified institutional buyers under Rule 144A of the Securities Act of 1933, attracted strong investor demand and was oversubscribed. As a result, the initial purchasers exercised their option to acquire an additional $100 million in principal amount of notes, increasing the total size of the offering from $650 million to $750 million.

At the same time, Penguin Solutions initiated transactions to exchange a portion of its existing convertible senior notes due in 2029 and 2030 for a combination of cash and shares of common stock. Together, these actions are intended to improve the company’s capital structure by extending debt maturities, lowering financing costs, and creating greater flexibility to pursue strategic growth initiatives.

Supporting Long-Term AI Expansion

Commenting on the successful completion of the offering, Penguin Solutions Chief Executive Officer Kash Shaikh highlighted the rapid evolution of the artificial intelligence market and the company’s position within it.

According to Shaikh, demand for advanced memory technologies and AI infrastructure continues to accelerate as enterprises increasingly deploy inference and agentic AI applications into large-scale production environments. Penguin Solutions believes it is well positioned to capitalize on this trend because of its expertise across both memory solutions and AI infrastructure technologies.

The company also pointed to its strong financial performance during the third quarter of fiscal 2026, which demonstrated continued profitable growth while reinforcing confidence in its long-term business strategy.

Shaikh noted that the financing transaction aligns with Penguin’s broader objective of maintaining a capital-efficient growth model. By extending the maturity profile of its debt obligations and reducing cash interest expenses, the company expects to gain additional financial flexibility to invest in expanding its AI Factory Platform.

He added that the strong level of investor participation enabled Penguin Solutions to secure highly attractive financing terms. Management believes the oversubscribed offering reflects investors’ confidence in the company’s strategic direction, financial performance, and ability to meet the growing demand for AI infrastructure solutions.

Strategic Use of the Proceeds

Penguin Solutions plans to allocate the proceeds from the financing toward several strategic initiatives.

A portion of the funds will be used to finance capped call transactions, which are designed to reduce potential dilution to existing shareholders if the convertible notes are converted into common stock. These transactions are commonly used in convertible debt offerings to offset dilution while preserving flexibility for issuers.

Another portion of the proceeds will fund the cash component of the company’s ongoing exchange transactions involving existing convertible notes maturing in 2029 and 2030.

The company also intends to repay outstanding borrowings under its current credit agreement, reducing existing debt obligations and improving overall financial efficiency.

After completing these activities, the remaining proceeds will be available for general corporate purposes, including investments that support the continued expansion of Penguin’s AI Factory Platform and broader business growth initiatives.

Details of the Convertible Notes

The newly issued convertible senior notes are unsecured senior obligations of Penguin Solutions and will mature on August 1, 2031, unless they are converted, redeemed, or repurchased before that date.

Unlike many traditional debt securities, the notes will not pay regular interest, carrying a 0.00% coupon, nor will they accumulate principal over time. This structure reduces the company’s ongoing cash interest obligations while providing investors with the opportunity to convert the notes into Penguin Solutions common stock under specified conditions.

If noteholders choose to convert their securities, Penguin Solutions may satisfy the conversion obligation using cash, shares of common stock, or a combination of both, depending on the applicable conversion terms and the company’s election.

Exchange of Existing Convertible Notes

Alongside the financing transaction, Penguin Solutions entered into privately negotiated agreements with a limited number of holders of its outstanding convertible senior notes.

The company agreed to exchange approximately $135.5 million of its 2.00% Convertible Senior Notes due 2029 and approximately $160 million of its 2.00% Convertible Senior Notes due 2030.

These exchanges are expected to close around July 17, 2026, subject to customary closing conditions.

The exchange transactions are intended to further optimize Penguin’s debt portfolio by extending maturities and reducing future financing obligations while supporting a more efficient capital structure.

Capped Call Transactions Help Reduce Potential Dilution

As part of the financing, Penguin Solutions also entered into privately negotiated capped call transactions with several financial institutions.

Capped call transactions are commonly used in connection with convertible debt offerings because they can help reduce the potential dilution experienced by existing shareholders if the notes are converted into common stock.

These arrangements effectively increase the conversion price at which dilution begins to occur, allowing companies to manage shareholder impacts while maintaining access to attractive financing.

For Penguin Solutions, the capped call strategy complements its broader objective of supporting future growth while preserving shareholder value.

The announcement also should not be interpreted as an offer to exchange, purchase, or redeem the company’s previously issued convertible notes.

Looking Ahead

The successful completion of this oversubscribed financing represents another important step in Penguin Solutions’ long-term strategy to strengthen its financial position while supporting continued investment in artificial intelligence infrastructure.

As AI adoption accelerates across industries, the company believes demand for scalable computing platforms, advanced memory technologies, and integrated AI infrastructure will continue to expand. By securing favorable financing terms, extending debt maturities, reducing interest costs, and enhancing financial flexibility, Penguin Solutions is positioning itself to capitalize on these market opportunities while maintaining a disciplined, capital-efficient approach to growth.

While management remains optimistic about the company’s future prospects, Penguin Solutions also reminded investors that forward-looking statements regarding financial performance, market demand, growth opportunities, capital allocation, and strategic initiatives are subject to risks and uncertainties.
