Comtech Announces Major Leadership Changes to Support Strategic Transformation and Public Safety Growth

Comtech Telecommunications Corp, a global communications technology company, has announced key leadership appointments as it prepares for the next phase of its corporate transformation. The company has appointed Richard “Rich” Nyren as Executive Vice President of Finance and Amy Rothstein-Hovey as General Counsel. These appointments are part of a planned leadership transition designed to support Comtech’s anticipated divestiture of most of its Satellite & Space Communications (S&S) segment and strengthen its strategic focus on public safety communications.

The leadership changes reflect Comtech’s broader effort to streamline its operations, strengthen its financial and organizational structure, and concentrate resources on its public safety and mobile network businesses. Following the anticipated completion of the S&S transaction, the company plans to build on its position in mission-critical communications through its Allerium segment.

Richard Nyren to Lead Finance Organization

Richard Nyren joined Comtech on October 8, 2026, as Executive Vice President of Finance. He is expected to assume the role of Chief Financial Officer after the company files its Form 10-Q for the first quarter of fiscal 2027, which is currently anticipated by December 10, 2026.

Nyren will succeed Michael Bondi, who has served as Comtech’s CFO since 2018. Bondi will continue in the role until the quarterly filing is completed and is assisting with the transition of his responsibilities. His departure is taking place amicably, with the company expressing appreciation for his contributions throughout his tenure.

Bondi joined Comtech in 2004 as Vice President and Controller and has played a significant role in the company’s financial management and organizational development. His departure is connected to the anticipated S&S transaction and the transition of the company’s operations.

Nyren brings more than 30 years of experience in finance, accounting, capital markets and strategic leadership across mission-critical communications, aerospace, satellite technology, telecommunications and infrastructure businesses.

Most recently, he served as Chief Financial Officer of Aireon, where he helped transform the company from a pre-revenue startup into a profitable aviation surveillance technology business. During his tenure, he also led more than $400 million in debt and equity financings, supporting the company’s financial development and growth.

Before joining Aireon, Nyren served as Chief Accounting Officer at Iridium Communications and held senior finance positions at XO Communications and Fairchild Corporation. He is also a Certified Public Accountant, bringing extensive financial oversight and reporting experience to his new position.

At Comtech, Nyren will lead the company’s finance organization and will be based at Allerium’s office in Broomfield, Colorado. His background in financial strategy, capital raising and business transformation is expected to support Comtech as it adapts its operations and priorities following the planned divestiture.

Amy Rothstein-Hovey Appointed General Counsel

Comtech has also appointed Amy Rothstein-Hovey as General Counsel, effective October 1, 2026. She is expected to become Chief Legal Officer and Corporate Secretary immediately following the anticipated completion of the S&S transaction.

Rothstein-Hovey will succeed Don Walther, who joined Comtech in 2023 and will remain Chief Legal Officer and Corporate Secretary through the transaction’s closing. Walther is helping facilitate the transition of his responsibilities and will depart amicably, with the company acknowledging his contributions during a period of significant organizational change.

Rothstein-Hovey brings more than 20 years of experience in corporate governance, strategic transactions, capital markets, enterprise risk management and business growth. Her professional background includes leadership roles at global public and private companies, with experience supporting legal strategy and corporate development.

Most recently, she served as Chief Legal Officer and Head of Corporate Development at Nexxen International. Previously, she was Chief Operating Officer at RhythmOne and General Counsel at YuMe. She also serves as an independent director of Arlo Technologies.

Her combination of legal, operational and corporate development expertise is expected to help Comtech navigate the legal and governance requirements associated with its planned business transition. She will be based at Allerium’s Seattle office.

Leadership Team to Support Comtech’s Strategic Direction

Ken Traub, Chairman, President and Chief Executive Officer of Comtech, welcomed both executives and emphasized the importance of their experience as the company moves toward a more focused operating model.

Traub noted that Nyren’s background in scaling mission-critical communications businesses and Rothstein-Hovey’s expertise in governance, strategic transactions and capital markets will be valuable as Comtech completes the planned S&S divestiture and strengthens its public safety operations.

The company intends to integrate the new executives closely with the Allerium leadership team, led by Jeff Robertson. This collaboration is expected to support a more streamlined organization focused on public safety communications and related mobile network capabilities.

Traub also thanked Bondi and Walther for their leadership and partnership during Comtech’s transformation over the preceding two years. He recognized their contributions to initiatives that strengthened the company financially, operationally, organizationally and strategically.

Comtech said it looks forward to working with both executives throughout the transition period and appreciates their support in reaching this stage of the company’s evolution.

Strategic Shift Toward Public Safety Communications

The leadership appointments come as Comtech prepares to reshape its business portfolio. In June 2026, the company agreed to sell most of its Satellite & Space Communications business to Gilat Satellite Networks Ltd. The transaction remains subject to regulatory approvals and customary closing conditions.

Following the anticipated transaction, Comtech plans to focus more heavily on public safety and mobile network technologies. Through its Allerium segment, the company provides infrastructure and software that support the location, routing, delivery, answering and coordination of 9-1-1 and emergency communications.

Allerium also provides mobile network operators with carrier-grade location services, messaging capabilities and public alerting solutions. These technologies support the movement of critical information between people, devices, emergency services and communications networks.

Comtech’s strategy centers on the intersection of public safety communications and mobile networks, where reliable connectivity and timely information are essential. By concentrating on these capabilities, the company aims to establish a more focused business model and position itself for long-term growth.

The appointments of Nyren and Rothstein-Hovey are intended to provide the financial, legal and governance leadership needed to support this strategy. Their experience in managing complex businesses, corporate transactions and organizational change is expected to help guide Comtech through the transition and its next stage of development.

Forward-Looking Statements

Comtech’s announcement includes forward-looking statements concerning the anticipated completion and benefits of the S&S transaction, future business priorities, operational initiatives, financing activities and the company’s expected financial and operating performance.

These statements are subject to risks and uncertainties that could cause actual results to differ materially from current expectations. Potential factors include delays or failure to complete the transaction, regulatory actions, transaction-related costs, changes in customer or supplier relationships, challenges retaining key employees, access to capital, market conditions, government contract timing, supply chain disruptions and broader economic or geopolitical developments.

Additional risks are described in Comtech’s filings with the U.S. Securities and Exchange Commission. The company cautions that forward-looking statements are not guarantees of future performance and are based on information and expectations available at the time of the announcement.

As Comtech advances its planned business transformation, the leadership changes mark an important step in preparing the organization for its anticipated public safety-focused future.
