Dot Ai Announces Nasdaq Delisting Notice and Plans to Appeal
LAS VEGAS — CID HoldCo, Inc. (Nasdaq: DAIC), doing business as Dot Ai, an Internet of Things (IoT) and artificial intelligence (AI)-based software-as-a-service company focused on asset intelligence for industrial applications, announced that it has received a written notification from the Listing Qualifications Department of The Nasdaq Stock Market LLC regarding the continued listing of its common stock.
The notification, dated August 6, 2026, informed Dot Ai that Nasdaq staff had determined that the company’s common stock, par value $0.0001 per share, should be delisted from Nasdaq because the company did not meet the exchange’s minimum Market Value of Listed Securities (MVLS) requirement.
Under Nasdaq Listing Rule 5450(b)(2)(A), companies listed on the Nasdaq Global Market are required to maintain an MVLS of at least $50 million. Nasdaq determined that Dot Ai had not regained compliance with this requirement by the applicable deadline.
Dot Ai said it is pursuing strategic alternatives to address the listing deficiency and plans to appeal Nasdaq’s determination.
Company Plans to Appeal Nasdaq Determination
Following receipt of the delisting notice, Dot Ai said it intends to exercise its right to request a hearing before a Nasdaq Hearings Panel.
The company must submit its hearing request by 4:00 p.m. Eastern Time on August 13, 2026, and pay the applicable $20,000 hearing fee. Dot Ai plans to meet both requirements within the prescribed timeframe.
The hearing process provides the company with an opportunity to present its case to the Nasdaq Hearings Panel and seek continued listing of its common stock.
Importantly, Dot Ai stated that submitting a timely hearing request will stay the suspension of its securities and the filing of a Form 25-NSE with the U.S. Securities and Exchange Commission, pending a written decision from the Hearings Panel.
As a result, Dot Ai’s common stock is expected to remain listed on Nasdaq while the appeal process is pending.
However, the company cautioned that there can be no assurance that the Hearings Panel will rule in its favor. The panel’s decision will ultimately play a key role in determining the future trading status of Dot Ai’s common stock on Nasdaq.

Previous Nasdaq Listing Deficiencies
The latest Staff Determination follows a series of deficiency notices issued by Nasdaq earlier in 2026.
On February 5, 2026, Dot Ai received notices from Nasdaq identifying two separate listing deficiencies. First, the company did not meet the $50 million MVLS requirement under Nasdaq Listing Rule 5450(b)(2)(A).
Second, Dot Ai’s common stock had traded below the required $1.00 minimum closing bid price for 30 consecutive business days. The minimum bid price is required under Nasdaq Listing Rule 5550(a)(2) for continued listing on the Nasdaq Global Market.
A few days later, on February 10, 2026, Nasdaq notified Dot Ai of another deficiency involving the minimum market value of publicly held shares, or MVPHS.
Under Nasdaq Listing Rule 5450(b)(2)(C), companies are required to maintain an MVPHS of at least $15 million. Dot Ai was therefore facing deficiencies involving multiple Nasdaq continued-listing requirements.
In accordance with Nasdaq’s rules, the company was given 180 calendar days to regain compliance with the applicable requirements.
The deadlines were August 4, 2026 for the MVLS and Minimum Bid Price Requirements and August 10, 2026 for the MVPHS requirement.
Minimum Bid Price Requirement Resolved
Dot Ai subsequently succeeded in addressing one of the three identified deficiencies.
On June 23, 2026, Nasdaq notified the company that it had regained compliance with the Minimum Bid Price Requirement.
The company achieved compliance after the closing bid price of its common stock remained at or above $1.00 per share for at least 12 consecutive business days, covering the period from June 8 through June 22, 2026.
Following confirmation from Nasdaq, the minimum bid price deficiency was closed.
However, Dot Ai did not regain compliance with the MVLS requirement before the August 4 deadline. Nasdaq therefore issued its Staff Determination on August 6, initiating the next stage of the listing review process.
Hearing Could Determine Future Nasdaq Listing
Dot Ai’s planned appeal represents an opportunity for the company to present information and arguments regarding its Nasdaq listing status.
During the hearing process, the Nasdaq Hearings Panel will evaluate the company’s circumstances and determine whether continued listing is appropriate under Nasdaq’s rules.
The company said there is no guarantee that it will receive a favorable decision. There is also no assurance that the panel will allow Dot Ai to remain listed or provide the company with additional time to demonstrate compliance with applicable listing requirements.
If the Hearings Panel determines that continued listing is appropriate, Dot Ai could remain on Nasdaq subject to any conditions or compliance requirements imposed by the panel.
If the appeal is unsuccessful, the company’s common stock could ultimately be suspended and delisted from Nasdaq.
Dot Ai emphasized that investors should not assume that the appeal will result in continued Nasdaq listing, as the final outcome depends on the Hearings Panel’s decision.
Strategic Alternatives Under Consideration
Alongside the Nasdaq appeal process, Dot Ai said it is pursuing strategic alternatives intended to address the deficiencies and strengthen its position.
The company has not provided specific details about those alternatives but indicated that it is evaluating potential paths as it works to address its listing challenges.
Maintaining compliance with Nasdaq’s continued-listing standards is an important consideration for publicly traded companies because Nasdaq listing can provide access to a broad investor base, institutional market participants and established trading infrastructure.
The outcome of the hearing, along with Dot Ai’s ability to satisfy applicable listing standards, will therefore be an important factor in determining the company’s future status as a Nasdaq-listed company.

By combining connected devices, wireless technologies, cloud software and AI-driven analytics, Dot Ai aims to help organizations better understand the location, condition and movement of assets throughout their operations.
Looking Ahead
Dot Ai’s immediate focus will be on navigating the Nasdaq appeals process while continuing to evaluate strategic alternatives.
The company expects its common stock to remain listed on Nasdaq during the appeal, provided the hearing request is submitted within the required timeframe. The eventual decision of the Nasdaq Hearings Panel will determine the next stage of the company’s listing status.
For investors, the situation remains subject to significant uncertainty. Dot Ai has acknowledged that there is no assurance the appeal will succeed, that continued Nasdaq listing will be granted, or that the company will be able to demonstrate compliance with applicable listing requirements within any additional period that may be provided.
The company said it will continue to pursue available options while working to address the issues identified by Nasdaq.
