Lattice Semiconductor Announces Inducement Equity Awards to New Employees

HILLSBORO, Ore. — Lattice Semiconductor Corporation (NASDAQ: LSCC), a leader in low-power programmable technology, announced that its Compensation Committee has approved a series of equity awards for newly hired employees. The grants are intended to support employee recruitment and retention as the company continues to expand its business and integrate its recently acquired AMI platform and technology.

The awards consist of time-based restricted stock units (RSUs) and performance-based restricted stock units (PRSUs) covering a total of 414,563 shares of Lattice Semiconductor common stock. The awards were granted to 1,344 new employees under the company’s 2025 Inducement Equity Incentive Plan, or Inducement Plan.

All of the awards were approved and granted on August 10, 2026, and are intended to qualify as inducement grants under Nasdaq Listing Rule 5635(c)(4). The rule allows companies to provide equity compensation to newly hired employees as a material incentive for entering into employment with the company, subject to applicable requirements.

Of the total awards, 389,513 RSUs and PRSUs were granted to 1,299 employees in connection with Lattice’s acquisition of AMI. The grants form part of Lattice’s broader effort to align newly hired employees with the company’s long-term performance and strategic objectives.

Equity Awards Designed to Support Employee Retention

The majority of the equity awards consist of time-based RSUs. These awards are designed to provide employees with an ownership interest in Lattice while encouraging them to remain with the company over the applicable vesting period.

A total of 358,371 RSUs will vest over a three-year period. Under the vesting schedule, one-third of the shares subject to each award will vest on the first anniversary of the August 10, 2026 grant date. The remaining shares will vest in equal portions on each subsequent three-month anniversary, subject to the employee continuing to provide services to Lattice.

An additional 40,621 RSUs will vest over four years. For these awards, one-quarter of the shares will vest on the first anniversary of the grant date. The remaining shares will then vest in equal installments on each successive three-month anniversary over the remainder of the four-year vesting period.

The vesting structure gives employees an opportunity to earn shares over time while creating a longer-term incentive to remain with Lattice and contribute to the company’s growth.

Performance-Based Awards Linked to Shareholder Returns

In addition to the time-based RSUs, Lattice granted 15,571 performance-based restricted stock units. Unlike the time-based awards, these PRSUs are tied to the company’s stock market performance relative to other companies.

The PRSUs will be evaluated based on Lattice’s total shareholder return relative to companies included in the Russell 3000 Index. This structure is intended to connect a portion of employee compensation directly to the company’s relative shareholder performance.

The PRSUs will be tested for vesting in three equal portions. One-third of the awards will be tested on each of the first, second and third annual anniversaries of the grant date.

The awards also include a multiplier provision that can increase the number of shares earned by recipients by as much as 200% in the event of extraordinary performance. This performance-based structure provides employees with the potential for greater equity compensation when Lattice delivers strong shareholder returns relative to the broader Russell 3000 Index.

Awards Connected to Lattice’s AMI Acquisition

A significant portion of the new equity awards is associated with Lattice’s acquisition of AMI. The transaction expanded Lattice’s portfolio beyond programmable logic and low-power semiconductor solutions by adding AMI’s platform firmware and infrastructure management capabilities.

The 389,513 RSUs and PRSUs awarded to 1,299 employees in connection with the acquisition reflect Lattice’s efforts to integrate employees from AMI and align them with the company’s broader strategy.

AMI’s technology and expertise are expected to complement Lattice’s existing semiconductor capabilities, particularly in areas related to data center infrastructure, cloud computing and artificial intelligence.

The combined capabilities are designed to provide customers with technologies that address both hardware and infrastructure management requirements, strengthening Lattice’s position in emerging computing and data center markets.

Vesting Subject to Continued Service

All of the equity awards are subject to the terms and conditions outlined in Lattice’s 2025 Inducement Equity Incentive Plan and the individual grant agreements covering each award.

Generally, recipients must continue providing services to Lattice through the applicable vesting date to receive the shares associated with their awards. The awards may also be subject to accelerated vesting provisions contained in individual employment or other agreements between Lattice and certain recipients.

The terms are intended to provide a combination of immediate recruitment incentives and longer-term retention benefits, while performance-based awards add an additional connection between employee compensation and shareholder outcomes.

Supporting Lattice’s Growth Strategy

The new grants come as Lattice continues to expand its presence across several technology markets, including computing, communications, industrial and embedded applications.

The company describes itself as a leader in low-power programmable technology, providing solutions designed to help customers develop and deploy innovative products from the edge to the cloud.

Lattice’s technology is used across a broad range of applications where low power consumption, flexibility, security and efficient computing are important. Its products and solutions serve customers in growing markets that increasingly require intelligent, connected and secure systems.

The acquisition of AMI adds another strategic dimension to the company’s portfolio. AMI brings platform firmware and infrastructure manageability capabilities that can complement Lattice’s programmable semiconductor technologies.

With the combination, Lattice aims to provide a more comprehensive platform for secure management and control of cloud and AI data center infrastructure.

Focus on Cloud and AI Infrastructure

The addition of AMI is particularly significant as demand continues to grow for cloud computing and artificial intelligence infrastructure.

Modern data centers require increasingly sophisticated systems to monitor, manage and control hardware and infrastructure. Lattice’s programmable technology, combined with AMI’s firmware and infrastructure management solutions, is intended to help customers address these requirements.

The company says the combined portfolio provides an expanded platform for secure management and control across data center infrastructure, while also supporting customers in other areas such as industrial and embedded systems.

The latest employee equity grants are therefore part of a broader effort to build and retain the talent needed to support It ‘s expanding technology portfolio and strategic priorities.
